Terms of Use for DuctArchitect

1.1. Description

DuctArchitect provides an HVAC management software platform designed to assist with project management, customer relationship management, invoicing, heat load calculations, worker tracking, reporting, and related business management functions.

1.2. License

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during the Subscription Term.

1.3. Modifications to the Service

We reserve the right to modify, enhance, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

2.1. Account Creation

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

2.2. Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2.3. Your Data

You retain all ownership rights to the data, information, and other content you upload or submit to the Service ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display Your Data solely for the purpose of operating, providing, and improving the Service. You are solely responsible for the accuracy, legality, and integrity of Your Data.

3.1. Subscription Plans

The Service is offered under various subscription plans as detailed on our pricing page. Fees are billed in advance on a recurring basis (e.g., monthly or annually).

3.2. Payment

You agree to pay all fees specified in your selected plan. You authorize us to charge your designated payment method for all applicable fees. All payment obligations are non-cancelable and fees paid are non-refundable, except as explicitly stated in these Terms.

3.3. Taxes

Our fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including value-added, sales, use, or withholding taxes (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchases hereunder.

You agree not to use the Service to: (a) Violate any applicable laws or regulations; (b) Infringe the intellectual property or other rights of third parties; (c) Transmit any viruses, malware, or other malicious code; (d) Attempt to gain unauthorized access to our systems or user accounts; (e) Use the Service for any purpose that is fraudulent, illegal, or harassing.

Excluding Your Data, we own all rights, title, and interest in and to the Service, including all related intellectual property rights. The look and feel of the Service, our trademarks, logos, and all proprietary content are the exclusive property of DuctArchitect.

6.1. Term

This Agreement commences on the date you first accept it and continues until your subscription has expired or has been terminated.

6.2. Termination by You

You may cancel your subscription and terminate this Agreement at any time through your account settings or by contacting our support team. Termination will be effective at the end of your current billing cycle.

6.3. Termination by Us

We may suspend or terminate your access to the Service for any reason, including, but not limited to, if you breach these Terms.

6.4. Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will have no obligation to maintain or forward Your Data after termination, and we may delete your account and all associated data.

7.1. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2. Limitation of Liability

IN NO EVENT SHALL DUCTARCHITECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8.1. Governing Law

This Agreement shall be governed by the laws of India, and the courts of Jodhpur, Rajasthan shall have exclusive jurisdiction.

8.2. Entire Agreement

These Terms constitute the entire agreement between you and DuctArchitect regarding the Service and supersede all prior agreements and understandings.

8.3. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide you with notice through the Service or by email. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the new Terms.
